1. Acceptance of Terms
By accessing, browsing, or using Monerixa ("the Platform," "we," "us," or "our"), whether as a visitor, creator, buyer, or in any other capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), together with our Privacy Policy, Content Policy, and DMCA Policy, each of which is incorporated herein by reference.
If you do not agree to all of these Terms, you must immediately cease all use of the Platform. Your continued access to or use of the Platform following the posting of any changes to these Terms constitutes your binding acceptance of such changes.
These Terms constitute a legally binding agreement between you and Monerixa. You represent and warrant that you have the legal capacity and authority to enter into these Terms.
2. Definitions
- "Platform" means the Monerixa website, web application, APIs, backend services, and all associated infrastructure operated by Monerixa.
- "Creator" means any user who uploads, publishes, or distributes content through the Platform.
- "Buyer" means any user who purchases access to content through the Platform.
- "Content" means any files, text, links, metadata (including titles and descriptions), and associated materials uploaded to or distributed through the Platform.
- "Wallet" means a Solana-compatible cryptocurrency wallet used to interact with the Platform, identified by its public key address.
- "Paywall" means a Content item listed on the Platform with a price set by a Creator, accessible to Buyers upon payment.
- "USDC" means USD Coin, a stablecoin pegged to the United States Dollar, on the Solana blockchain.
- "Transaction" means any on-chain transfer of USDC on the Solana blockchain initiated through the Platform.
- "Deposit" means the small USDC payment required from Creators when uploading Content, intended as an anti-spam measure.
- "Platform Fee" means the percentage-based fee charged by the Platform on each sale, currently set at 5%.
- "Access Period" means the duration for which a Buyer may access purchased Content, as set by the Creator at the time of upload.
3. Platform Description
Monerixa is a decentralized content monetization platform built on the Solana blockchain. The Platform enables Creators to upload digital Content — including files (up to 100 MB), text (up to 50,000 characters), and links — and place that Content behind a Paywall with a price denominated in USDC.
When a Buyer makes a payment, the USDC is split atomically in a single on-chain Transaction: 95% is transferred directly to the Creator's Wallet, and 5% is transferred to the Platform Wallet as the Platform Fee. The Platform does not custody, hold, escrow, or otherwise control user funds at any point during this process.
The Platform provides infrastructure for content hosting, encryption, payment verification, access control, and content delivery. The Platform does not act as a broker, marketplace operator, financial institution, money services business, or payment processor. All payments occur directly on the Solana blockchain between the Buyer and Creator.
The Platform is provided on an "as available" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice.
4. Eligibility
You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction (whichever is greater), to access or use the Platform. By connecting a Wallet to the Platform, you represent and warrant that:
- You meet the minimum age requirement stated above.
- You have the full legal capacity to enter into a binding agreement.
- Your use of the Platform does not violate any applicable law, regulation, or order in your jurisdiction, including but not limited to sanctions regulations, export controls, and anti-money laundering laws.
- You are not located in, under the control of, or a national or resident of any country subject to United States, European Union, or United Nations sanctions or embargoes.
- You have not been previously banned or removed from the Platform.
5. Wallet Authentication and Security
The Platform does not create traditional accounts. Your Solana Wallet address serves as your sole identifier and authentication credential. By connecting a Wallet, you acknowledge and agree that:
- You are solely responsible for the security of your Wallet, including all private keys, seed phrases, recovery phrases, and any associated hardware devices.
- The Platform will never request your private keys or seed phrases. Any request for such information is fraudulent and should be ignored.
- All actions taken using your Wallet address on the Platform are attributed to you and are your sole responsibility, including any Transactions signed by your Wallet.
- The Platform cannot recover lost or stolen Wallets, reverse Transactions, or restore access to Content if you lose control of your Wallet.
- You must not connect a Wallet that you do not own or control, or impersonate another Wallet holder.
- Wallet signatures requested by the Platform (for authentication, uploads, and downloads) are message signatures only — they do not authorize fund transfers and incur no gas fees.
6. Creator Terms
6.1 Content Ownership and Licensing
You retain full ownership of all Content you upload. By uploading Content to the Platform, you grant Monerixa a limited, non-exclusive, worldwide, royalty-free license to store, encrypt, process, cache, and deliver your Content to authorized Buyers for the duration of the Paywall's Access Period. This license terminates when the Content is deleted or expires, except as necessary for the Platform to fulfill its obligations to Buyers who purchased access prior to deletion or expiration.
6.2 Content Requirements
- You must own or possess all necessary rights, licenses, consents, and permissions to upload, distribute, and sell the Content.
- Content must comply with our Content Policy at all times.
- Titles and descriptions must accurately represent the Content. Misleading, deceptive, or bait-and-switch descriptions constitute fraud and will result in Content removal and potential Wallet bans.
- You must not upload Content that infringes any third party's intellectual property rights, including copyrights, trademarks, patents, trade secrets, or rights of publicity.
- You are solely responsible for determining and complying with any applicable tax obligations arising from your sales on the Platform.
6.3 Pricing
Creators set prices for their Content in USDC. The minimum price is $0.10 USDC. There is no maximum price. You acknowledge that the Platform Fee (currently 5%) is deducted from each sale, and the net amount (currently 95%) is transferred directly to your Wallet. Prices may be modified at any time by the Creator via the Dashboard, but price changes do not affect existing purchases.
6.4 Anti-Spam Deposits
All Content uploads require a small USDC Deposit to prevent spam and storage abuse. Deposit amounts vary based on content type and file size:
- Text or link content: $0.01 USDC
- Files up to 10 MB: $0.01 USDC
- Files up to 25 MB: $0.03 USDC
- Files up to 50 MB: $0.08 USDC
- Files up to 100 MB: $0.15 USDC
Deposits paid on-chain are automatically credited back to your Platform credit balance when the Paywall accumulates $1.00 or more in total gross Buyer revenue. Deposits covered by existing Platform credits are not eligible for a subsequent credit-back, as this would create an infinite credit cycle. If a Paywall expires with zero sales, the Deposit is retained by the Platform and is non-refundable. Content removed by administrators for policy violations (including malware, prohibited content, or DMCA takedowns) also forfeits the associated Deposit — removed content is not eligible for deposit credit-back under any circumstances. Additionally, Creators who repeatedly upload files detected as containing malware (more than 5 lifetime occurrences) will have their Deposits retained on all subsequent infected uploads, rather than receiving the standard credit-back.
6.5 Content Duration and Expiration
Creators select an Access Period at the time of upload: 1 hour, 1 day, 7 days, 30 days, 90 days, 180 days, or 365 days. Once set, the Access Period cannot be extended or shortened. When a Paywall expires, Buyers can no longer access the Content through the Platform, but any files previously downloaded remain in the Buyer's possession.
6.6 Content Deletion and Buyer Protection
Creators may delete their Content at any time via the Dashboard, subject to the following restriction: if any Buyer has completed a purchase within the preceding 24 hours (configurable by the Platform), deletion is temporarily blocked. This buyer protection window ensures that Buyers have adequate time to download Content they have paid for. The Dashboard displays the exact time at which deletion becomes available. Once deleted, Content is permanently removed from the Platform, and associated encrypted files are purged from storage when no other Paywall references them.
7. Buyer Terms
7.1 Payment Finality
All payments are final and non-refundable. Because Transactions occur directly on the Solana blockchain, the Platform has no ability to reverse, cancel, or refund any payment once it has been confirmed on-chain. You acknowledge and accept this limitation before making any purchase. By clicking "Pay" and approving the Transaction in your Wallet, you irrevocably authorize the transfer of USDC.
7.2 Access Rights
Upon successful payment, you receive a non-exclusive, non-transferable, non-sublicensable, personal license to access and download the Content for the duration of the Access Period set by the Creator. This license does not grant you ownership of the Content, nor does it grant any rights to reproduce, distribute, publicly display, publicly perform, create derivative works from, or commercially exploit the Content unless the Creator has explicitly authorized such use.
7.3 Download Mechanism
Downloads require a fresh Wallet signature each time. The Platform issues a short-lived download token after verifying your Wallet signature and confirming your payment record. There is no permanent or shareable download URL. Access is re-verified on every download request. You may not circumvent, bypass, or automate the download mechanism.
7.4 Content Disputes
The Platform does not mediate disputes between Creators and Buyers regarding the quality, accuracy, completeness, or fitness of Content. Buyers acknowledge that they are purchasing access to Content as described by the Creator, and that the Platform makes no representations or warranties regarding the Content itself. If you believe Content is fraudulent, misleading, illegal, or violates the Content Policy, you may submit a report through the Platform's reporting mechanism.
7.5 Prohibited Buyer Conduct
- Sharing, redistributing, reselling, sublicensing, or publicly posting purchased Content without the Creator's explicit written permission.
- Attempting to share download tokens, access tokens, or authentication credentials with third parties.
- Using automated tools, scripts, bots, or scraping techniques to download, replicate, or mass-access Content.
- Attempting to reverse-engineer the Platform's encryption, access control, or content delivery mechanisms.
- Initiating chargebacks, payment reversals, or disputes through external channels for Transactions completed on-chain.
8. Fees and Payments
8.1 Platform Fee
The Platform charges a flat fee of 5% on every sale ("Platform Fee"). This fee is computed server-side and is non-negotiable. The Platform Fee is deducted atomically from the payment Transaction — the Creator receives 95% and the Platform receives 5% in the same on-chain Transaction. The Platform Fee percentage may be changed with prior notice; any change applies only to future Transactions.
8.2 Network Fees
Solana network transaction fees (typically under $0.001 per Transaction) are paid by the Buyer directly to the Solana network. The Platform does not add any markup to network fees.
8.3 Currency
All prices, payments, fees, and deposits on the Platform are denominated and settled in USDC on the Solana blockchain. The Platform does not accept, process, or support any other cryptocurrency, fiat currency, or payment method. You are responsible for acquiring USDC through your own means prior to using the Platform.
8.4 Taxes
You are solely responsible for determining, collecting, reporting, and remitting any and all taxes applicable to your use of the Platform, including but not limited to income tax, capital gains tax, value-added tax (VAT), goods and services tax (GST), sales tax, and any other taxes imposed by your jurisdiction. The Platform does not withhold, collect, or remit taxes on your behalf. The Platform does not provide tax advice, and you should consult a qualified tax professional regarding your obligations.
9. Prohibited Conduct
You agree not to engage in any of the following conduct:
- Uploading, distributing, or facilitating the distribution of any Content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable.
- Uploading child sexual abuse material (CSAM). This is a zero-tolerance policy and will be reported to the appropriate law enforcement authorities.
- Uploading sexually explicit, pornographic, or graphic nude content.
- Uploading malware, viruses, trojans, ransomware, keyloggers, spyware, adware, or any other malicious software or code.
- Infringing upon or misappropriating any third party's intellectual property rights, rights of publicity, or rights of privacy.
- Impersonating any person or entity, or falsely claiming an affiliation with any person or entity.
- Attempting to manipulate, replay, forge, or otherwise tamper with payment Transactions, Wallet signatures, or access tokens.
- Exploiting, probing, scanning, or testing the vulnerability of the Platform, or circumventing any security or authentication measures.
- Using the Platform to facilitate money laundering, terrorist financing, sanctions evasion, fraud, or any other financial crime.
- Circumventing or attempting to circumvent rate limits, upload quotas, storage quotas, download limits, or anti-spam measures, including the Deposit system.
- Creating multiple Wallets or identities to evade bans, restrictions, or enforcement actions.
- Interfering with or disrupting the Platform's infrastructure, servers, networks, or services, including through denial-of-service attacks or excessive automated requests.
- Scraping, crawling, indexing, or otherwise collecting data from the Platform through automated means without express written permission.
- Accessing the Platform from jurisdictions where such access is prohibited by applicable law.
- Encouraging, facilitating, or instructing others to engage in any of the foregoing prohibited conduct.
10. Content Moderation and Enforcement
The Platform employs automated content screening measures, including malware scanning for file uploads and content policy checks for text uploads. Files detected as containing malware are removed and the Creator is notified. Text content that violates severe policy categories is blocked before upload. The Platform also reserves the right to monitor, review, and moderate Content at any time and for any reason. We may take any of the following enforcement actions at our sole discretion:
- Content hiding — Content may be hidden from public view pending review. Hidden Content is inaccessible to new Buyers. Content may be automatically hidden when the number of pending abuse reports reaches the Platform's configured threshold.
- Content removal — Content may be permanently removed from the Platform. Removed Content returns HTTP 404. Associated encrypted files are deleted from storage.
- Wallet bans — Creator Wallets may be banned from uploading new Content. Bans may be accompanied by bulk-hiding of all existing Content from the banned Wallet. Bans are at the discretion of the Platform's moderation team.
For copyright-related claims, please see our DMCA Policy. DMCA submissions do not automatically result in Content removal; they are reviewed by our moderation team and resolved through the process described in that policy.
11. Intellectual Property
11.1 Creator Content
Creators retain all ownership rights in and to their Content. The Platform does not claim any ownership, intellectual property rights, or proprietary interest in Creator Content. The limited license granted in Section 6.1 is solely for the purpose of operating the Platform and delivering Content to authorized Buyers.
11.2 Platform Property
The Platform, including its design, logo, branding, software, source code, algorithms, user interface, documentation, and all other proprietary materials, is the exclusive property of Monerixa and is protected by copyright, trademark, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or create derivative works of any part of the Platform without express written permission.
11.3 Trademarks
"Monerixa" and all associated logos, wordmarks, and design marks are trademarks of Monerixa. You may not use these marks without prior written consent, except as reasonably necessary to identify the Platform when sharing links to your Content.
12. Privacy and Data
Your use of the Platform is also governed by our Privacy Policy, which describes the information we collect, how we use it, and your rights with respect to that information. By using the Platform, you consent to the collection and use of information as described in the Privacy Policy. The Platform is designed with privacy as a core principle and does not require personal information (such as names, emails, or phone numbers) for standard use.
13. Security
The Platform employs industry-standard security measures to protect Content and user data, including but not limited to:
- Industry-standard authenticated encryption for all uploaded files, with per-file encryption keys.
- Cryptographic wallet signature verification for all authenticated actions.
- Uniqueness enforcement on Transaction signatures to prevent replay attacks.
- Rate limiting on uploads, downloads, and API requests.
- Short-lived, single-use download tokens.
- Server-side fee computation to prevent client-side manipulation.
- On-chain payment verification via Solana RPC (sender extracted from Transaction data, never trusted from the client).
Notwithstanding the foregoing, no system is completely secure. The Platform does not guarantee that its security measures will prevent all unauthorized access, data breaches, or security incidents. You use the Platform at your own risk.
14. Third-Party Services and Links
The Platform may interact with or contain links to third-party services, including but not limited to Solana blockchain infrastructure, Solana RPC providers, Wallet providers (Phantom, Solflare, Backpack, and others), and USDC (issued by Circle). These third-party services are governed by their own terms of service and privacy policies.
The Platform is not responsible for the availability, accuracy, security, or practices of any third-party service. Your use of third-party services is at your own risk, and you should review the applicable terms and policies before using them. Creators may include links to external resources as Content — the Platform does not endorse, verify, or assume liability for any external link shared through a Paywall.
15. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the generality of the foregoing, the Platform makes no warranty or representation that:
- The Platform will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components.
- The results obtained from the use of the Platform will be accurate, reliable, or complete.
- Content uploaded by Creators will be of any particular quality, accuracy, legality, or fitness for any particular purpose.
- Any defects or errors in the Platform will be corrected.
- The Solana blockchain, USDC, or any Wallet provider will function as expected or remain available.
- Your Content will not be lost, corrupted, or accessed by unauthorized parties despite our security measures.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MONERIXA, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT MONERIXA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Without limiting the foregoing, the Platform is not liable for losses resulting from:
- Blockchain network failures, congestion, forks, outages, or consensus changes on the Solana blockchain.
- Wallet compromises, private key theft, phishing attacks, or unauthorized access to your Wallet.
- USDC depegging from its US Dollar peg, or any fluctuation in the value of USDC or other cryptocurrencies.
- Content disputes between Creators and Buyers, including disputes regarding quality, accuracy, or fitness.
- Actions taken by third-party Wallet providers, RPC providers, or the Solana Foundation.
- Regulatory actions, sanctions, or legal proceedings in any jurisdiction affecting your ability to use the Platform or hold USDC.
- Data loss due to server failures, security breaches, or natural disasters, despite our reasonable security efforts.
- Any actions taken by the Platform in good faith to enforce these Terms, including Content removal and Wallet bans.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONERIXA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT OF PLATFORM FEES ACTUALLY RECEIVED BY MONERIXA FROM YOUR TRANSACTIONS IN THE TWELVE (12) MONTHS PRECEDING THE DATE OF THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
17. Indemnification
You agree to indemnify, defend, and hold harmless Monerixa, its affiliates, and their respective directors, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) any Content you upload or distribute through the Platform; (c) your violation of these Terms; (d) your violation of any applicable law, regulation, or third-party right; (e) any dispute between you and another user of the Platform; or (f) any claim that your Content caused damage to a third party.
18. Dispute Resolution
18.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Platform informally by contacting us through the Platform's reporting mechanism. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice.
18.2 Binding Arbitration
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved by binding arbitration in accordance with the rules of a mutually agreed-upon arbitration body. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
18.3 Class Action Waiver
YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST MONERIXA.
18.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.
19. Termination
19.1 Termination by You
You may cease using the Platform at any time by disconnecting your Wallet. No formal account closure process is required. However, active Paywalls will continue to function (accepting payments and serving Content to authorized Buyers) until their expiration date. You remain bound by these Terms with respect to any Content you have uploaded and any Transactions completed prior to termination.
19.2 Termination by Us
We may, at our sole discretion and without prior notice, ban your Wallet, remove your Content, restrict your access, or take any other enforcement action if we reasonably believe that you have violated these Terms, our Content Policy, or any applicable law. We are not required to provide a reason for enforcement actions, though we will generally endeavor to do so.
19.3 Effect of Termination
- Funds already transferred on-chain are unaffected by termination. The Platform cannot reverse or claw back on-chain payments.
- Outstanding Platform credits may be forfeited upon a ban resulting from Terms violations.
- Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law) shall survive and remain in full force and effect.
20. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Monerixa operates, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the courts in that jurisdiction for any legal proceedings arising out of or relating to these Terms, except as provided in the Dispute Resolution section above.
21. Force Majeure
The Platform shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, epidemics, pandemics, war, terrorism, riots, civil unrest, government actions or regulations, sanctions, embargoes, blockades, labor disputes, power failures, internet outages, telecommunications failures, blockchain network failures or forks, cyberattacks, or third-party service disruptions.
22. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent. If such modification is not possible, the provision shall be severed, and the remaining provisions of these Terms shall continue in full force and effect.
23. Waiver
The failure of the Platform to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Monerixa. A waiver of any provision on one occasion shall not be deemed a waiver of such provision on any subsequent occasion.
24. Entire Agreement
These Terms, together with the Privacy Policy, Content Policy, and DMCA Policy, constitute the entire agreement between you and Monerixa with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, agreements, and understandings, whether oral or written, between you and Monerixa regarding the Platform.
25. Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of Monerixa. Monerixa may assign, transfer, or delegate its rights and obligations under these Terms without restriction and without notice, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
26. Electronic Communications
By using the Platform, you consent to receiving communications from us electronically, including through the Platform interface, on-chain Transaction records, and any contact method you provide in connection with DMCA or reporting submissions. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
27. Changes to These Terms
We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. Material changes will be indicated by updating the "Last updated" date at the top of this page. We may, but are not required to, provide additional notice of material changes through the Platform interface.
Your continued use of the Platform following the posting of revised Terms constitutes your binding acceptance of such revised Terms. If you do not agree to the revised Terms, your sole remedy is to discontinue your use of the Platform. It is your responsibility to review these Terms periodically.
